Global FMCG group, head-quartered in Luxembourg, is looking for a Group General Counsel / Head of Legal. Group General Counsel will be a member of the Top Management team, reporting directly to Group CEO. He or she will be in charge of all legal aspects of the Group.
Group General Counsel’s principal responsibilities will include:
- Manage and supervise a high-quality international in-house legal team and outside counsel
- Administrate corporate procedures (re corporate resolutions, boards, shareholders, etc.)
-Handle issues in a number of industry sectors, legal frameworks and jurisdictions related to:
intellectual property / trademarks
commercial issues e.g. customer and supplier contracts, advertising, competition law
international criminal law
regulatory issues
securities
labour law
M&A
taxation (legal aspects)
corporate governance, compliance, internal controls, audit
all kinds of reorganizations and restructurings, formations and liquidations of companies
- Represent the Group in courts, litigations and corporate proceedings
- Draft and negotiate commercial, financial, legal, and other types of agreements
- Serve on subsidiaries’ Boards of Directors and represent the Group in professional organizations
- Participate actively in all Group’s strategic decisions
- Negotiate on behalf of the Group with various counterparties, including state authorities, investors, shareholders, vendors, financial institutions, etc.
Candidates should have:
- 7 to 10+ years experience in similar position/s within a multi-national company or top legal firm
- First class education
- Good overall understanding of above-mentioned areas and their legal aspects
- Work experience in both Russia/CIS and in the West
- Excellent communication skills in English and Russian languages
- Top-level negotiations skills
- Ability to remain flexible in a fast-paced and changing environment
- Strong work ethics and drive to exceed expectations
- Superb organizational skills, coupled with high attention to detail and strive for perfection
- Experience within multiple industry sectors would be advantageous
- Advanced knowledge of Intellectual Property aspects will be of great benefit
The position is based in Luxembourg and will involve frequent travel all over the world (mainly Russia, the Baltics and all over Western Europe). The position is suitable for someone who is looking for an exceptionally interesting challenge, very broad remit and high level of responsibility.
